Edunza Tutor Terms of Service

Version 1.2

NAVRITI SOLUTIONS — EDUNZA TUTOR TERMS OF SERVICE

Effective date: 16 June 2026

Please read these Terms carefully before creating a Tutor account.

1. Parties and acceptance
These Terms of Service ("Terms") are a legally binding agreement between you ("Tutor", "you") and Navriti Solutions ("Navriti", "we", "us", "our"), which operates the Edunza cloud platform at Edunza.app ("Edunza" or the "Service").

By registering as a Tutor, accepting these Terms, and using the Service, you agree to be bound. Electronic acceptance is valid under the Information Technology Act, 2000.

2. Eligibility
You must be at least 18 years old and legally able to enter a binding contract. You represent that information you provide during registration and profile setup is accurate and kept up to date.

3. The Service
Navriti provides Edunza, a cloud software platform for individual tutors to manage teaching operations, including batches, students, attendance, assignments, tests, progress reports, student fee records, and related records. Features available to you depend on your subscription plan and may change over time.

Edunza is a software tool only. Navriti is not an education board, examination authority, or a collection agent, escrow, or bank for money your students pay you.

4. Your account
You are responsible for safeguarding login credentials and for all activity under your account. Notify us promptly at contactus@navriti.in of any unauthorised access. You must complete your profile and maintain accurate contact details.

5. Subscription and platform fees
Access may include a free trial or paid subscription. Platform fees, GST, billing cycles, and plan limits are shown in the application. These charges are for use of Edunza. They are separate from tuition or other fees your students pay you.

You agree to pay applicable platform charges and taxes. Platform fees are generally non-refundable except as required by applicable law or as we expressly agree in writing. Failure to pay may result in restricted access or account suspension after notice where required.

6. Acceptable use
You agree not to:
• use the Service for unlawful, harmful, or fraudulent purposes;
• upload malware or attempt to disrupt or reverse engineer the Service;
• misuse student or third-party personal data;
• resell or sublicense the Service without our written consent.

7. Student and third-party data
As a Tutor you may enter personal data about students, parents, or others. You are the Data Fiduciary for that data. Navriti processes it as a Data Processor on your instructions solely to provide the Service. You are responsible for:
• having a lawful basis to collect and use that data, including verifiable parental or guardian consent where the individual is under 18;
• using the Service only for legitimate educational purposes;
• keeping data accurate and sharing it only with authorised persons;
• responding to requests from Data Principals where applicable.

You shall not enter health, biometric, or other personal data that Indian law treats as requiring additional protection unless permitted by law and necessary for the Service.

8. Privacy and data protection
Navriti processes account and usage data as described in our Privacy Policy (Edunza.app/privacy). This includes Firebase Analytics (Google Analytics 4) for product improvement: page views and feature usage without student names, contact details, government IDs, or payment amounts. You can turn usage analytics off under Dashboard → Settings. You are responsible for obtaining any consents required before entering student, parent, employee, or other third-party personal data into the Service.

9. Intellectual property
Navriti and its licensors retain all rights in the Service, software, Edunza branding, and documentation. You retain rights in content and marks you upload. You grant Navriti a limited licence to host, process, and display that content solely to provide the Service to you.

10. Availability and changes
We may update, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

11. Disclaimer, limitation of liability, and indemnity
The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Navriti is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill.

Nothing in these Terms excludes or limits liability that cannot be excluded under Indian law, including liability for fraud or wilful misconduct.

Our total liability for any claim relating to the Service is limited to the platform fees you paid to Navriti in the twelve (12) months before the event giving rise to the claim, or INR 5,000 if you are on a free or trial plan.

You shall indemnify Navriti against claims arising from content you upload, misuse of the Service, or your failure to obtain required consents.

12. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to use the Service ends. You should export any data you need before access ends. We may retain or delete data in accordance with our retention practices and applicable law.

13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date of updated Terms constitutes acceptance.

14. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any non-excludable rights under applicable law, the courts at Kollam District, Kerala, India (including the courts at Chathannoor) shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

Edunza Center Terms of Service

Version 1.2

NAVRITI SOLUTIONS — EDUNZA CENTER TERMS OF SERVICE

Effective date: 16 June 2026

Please read these Terms carefully before registering your educational centre.

1. Parties and acceptance
These Terms of Service ("Terms") are a legally binding agreement between the educational institution or coaching centre you represent ("Center", "Institution", "you") and Navriti Solutions ("Navriti", "we", "us", "our"), which operates the Edunza cloud platform at Edunza.app ("Edunza" or the "Service").

The person registering confirms they are authorised to bind the Center. By registering, accepting these Terms, and using the Service, the Center agrees to be bound. Electronic acceptance is valid under the Information Technology Act, 2000.

2. Eligibility
The Center must operate lawfully. The registering user must be at least 18 years old and have authority to act for the Center. Registration details, centre profile, tax identifiers (where collected), and contact information must be accurate and kept current.

3. The Service
Navriti provides Edunza, a cloud software platform for educational centres to manage operations, including teachers, staff, batches, enrolments, student attendance, employee attendance, leave, assignments, tests, progress reporting, student fee records, payroll records, advanced reports, custom branding, API access, and related administration. Available modules depend on your plan, staff permissions, and product updates.

Edunza is a software tool only. Navriti is not an education board, examination authority, employer of your teachers or staff, payroll processor for statutory filings, or a collection agent, escrow, or bank for money your students pay you.

4. Center account, administrators, teachers, and staff
The Center is responsible for all use under its account, including by administrators, teachers, staff employees, and anyone you invite or authorise. Teachers and staff do not self-register; the Center creates their logins and assigns module permissions. You must:
• assign roles and permissions on a need-to-know basis;
• revoke or disable access when employment or engagement ends;
• protect administrator credentials, forbid shared logins, and monitor account activity;
• notify us promptly at contactus@navriti.in of unauthorised access.

Teachers and staff using Edunza under your account have no separate contract with Navriti for your institute’s operations. Their acts and omissions in the Service are treated as the Center’s.

5. Subscription and platform fees
Center access may include a trial or paid subscription based on plan limits (for example, students, teachers, or staff) and optional modules. Platform fees, GST, renewals, and usage limits are displayed in the application. These charges are for use of Edunza. They are separate from tuition or other fees your students pay the Center.

The Center agrees to pay applicable platform charges and taxes. Platform fees are generally non-refundable except as required by applicable law or as we expressly agree in writing. Non-payment may lead to feature restrictions, account lock, or suspension after reasonable notice.

6. Student fee records
The Fees module records amounts the Center tracks as due or received from students. Edunza does not replace your bank account and does not collect, hold, or settle student payments. The Center remains solely responsible for its own fee policies, receipts, refunds to students, and tax treatment of that income.

7. Payroll and employment records
Leave, employee attendance, salary structures, and payslip tools (where included in your plan) are records the Center creates. The Center remains the employer or contracting party of its teachers and staff. The Center is solely responsible for wages, statutory contributions, tax deduction at source, labour-law compliance, and any dispute with employees. Navriti does not verify payroll calculations or file statutory returns for you.

8. Acceptable use
The Center agrees not to:
• use the Service in violation of applicable education, labour, tax, or data-protection laws;
• upload unlawful, defamatory, or infringing content;
• attempt to compromise platform security or availability, or reverse engineer the Service;
• use the Service to send unsolicited marketing without consent;
• share logins, exceed plan limits by unauthorised means, or resell the Service without our written consent;
• use API access or custom branding (where enabled) to impersonate Navriti or to attack, scrape, or overload the Service.

9. Student, employee, and third-party data
The Center is the Data Fiduciary for personal data it enters about students, parents, teachers, staff, and others. Navriti processes that data as a Data Processor on the Center’s instructions solely to provide the Service.

The Center must:
• provide appropriate privacy notices and obtain required consents, including verifiable parental or guardian consent where the individual is under 18;
• ensure data is accurate, relevant, and used only for legitimate institutional purposes;
• respond to requests from Data Principals where applicable;
• configure staff access on a need-to-know basis.

The Center shall not enter health, biometric, or other personal data that Indian law treats as requiring additional protection unless permitted by law and necessary for the Service.

11. Intellectual property
Navriti and its licensors retain all rights in the Service, software, Edunza branding, and documentation. You retain rights in content and marks you upload. You grant Navriti a limited licence to host, process, and display that content solely to provide the Service to you. Custom branding, where offered, does not transfer ownership of the Service.

12. Availability and changes
We may update, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

Navriti is not liable for any claim arising from student fee records, payroll records, or staff actions.

The Center shall indemnify Navriti against claims arising from content the Center or its users upload, misuse of the Service by the Center’s users, or the Center’s failure to obtain required consents or to comply with education, labour, tax, or data-protection law.

14. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or if required by law. Upon termination, the Center’s right to use the Service ends, including logins of teachers and staff. The Center should export any data it needs before access ends. We may retain or delete data in accordance with our retention practices and applicable law.

15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date of updated Terms constitutes acceptance.

16. Governing law and jurisdiction
